About the Role
The Lead Counsel – Global Entity Governance will oversee corporate governance for Baker Hughes legal entities in North America, conduct board and shareholder meetings, manage power of attorney processes, review resolutions and documents, and handle notarization, apostille, and legalization of documents. Additional responsibilities include supporting mergers and acquisitions, providing timely corporate information to internal teams, managing invoicing procedures and workflows, supporting vendor onboarding and billing issue resolution, and performing other assigned duties. • Oversee corporate governance for Baker Hughes legal entities in North America. • Conduct board of directors and shareholder meetings for assigned jurisdictions. • Manage power of attorney requests, approvals, and issuance. • Review and process resolutions, documents, and power of attorney requests from subsidiaries and affiliates. • Handle notarization, apostille, and legalization of corporate documents. • Support mergers and acquisitions activities. • Provide timely corporate information to internal teams as needed. • Manage invoicing procedures, vendor onboarding, training, and billing error resolution. • Serve as liaison between vendors and internal stakeholders.

What You Bring
Successful candidates will have at least three years of post‑qualified experience as a lawyer in a multinational firm or in‑house counsel, a bachelor's degree, and a minimum of three years in corporate governance, complemented by strong communication, interpersonal, leadership, analytical and organizational skills. • Minimum three years post‑qualified experience as a lawyer in a multinational firm or large corporation. • Bachelor’s degree from an accredited university. • At least three years of corporate governance experience. • Excellent oral and written communication skills. • Strong interpersonal and leadership abilities, with capacity to influence and lead small teams. • Ability to coordinate multiple projects simultaneously and solve problems effectively. • Proven analytical and organizational capabilities.
