About the Role

The Senior Legal Counsel, Corporate role sits within the core global xScale Legal team, supporting Equinix’s fast‑growing joint‑venture data center business. This position focuses on corporate law matters, including joint‑venture agreements, M&A transactions, and corporate restructuring, while collaborating closely with tax, treasury, and other functional teams. • Develop expertise in xScale joint‑venture contractual structures and support world‑class data center operations. • Provide corporate law support for organic and inorganic expansion, including M&A transactions within xScale joint ventures. • Negotiate principal joint‑venture agreements, ancillary corporate agreements, and coordinate with Tax and Treasury for optimal structuring. • Advise on investor exit strategies, corporate entity formation, and incorporation of new entities for the joint‑venture business model. • Lead corporate restructuring projects such as statutory mergers, asset transfers, and share recapitalizations. • Ensure compliance with xScale and Equinix policies, manage inter‑company agreements, and support REIT governance requirements. • Coordinate with other Equinix legal team members to maintain group legal entities, file annual returns, and keep corporate records up to date. • Provide ad‑hoc legal and regulatory advice on governance, structuring, JV partnership rights, and directors’ duties. • Facilitate legal updates for stakeholder and investor calls, including agenda preparation, note‑taking, and action follow‑up. • Coordinate legal due diligence across joint‑venture setups, monetization, and financing workstreams. • Archive project information, monitor open actions after closure, and ensure proper documentation. • Draft and negotiate NDAs, simple consents, notices, and other straightforward corporate or real‑estate documents. • Initiate and lead process improvement initiatives to enhance legal support efficiency and cross‑functional collaboration. • Liaise with external counsel in various jurisdictions, managing relationships and subject‑matter expertise for local law matters.

What You Bring

• Qualifications: law degree with solid post‑qualification corporate law or governance experience in a reputable firm or multinational. • Desirable in‑house experience, preferably via secondment, and experience in a dynamic global business environment. • Preferred background in IT, telecom, or real‑estate industries. • Strong communication, relationship‑building, and ability to work with business‑focused personnel. • Demonstrated initiative, ownership of projects, attention to detail, and ability to meet tight deadlines. • Excellent organizational, prioritization, and administrative skills with a pragmatic, commercial approach. • Ability to multitask, work independently with limited supervision, and drive improvement initiatives.
